1.1 Ukrainian Grain Association (hereinafter referred to as UGA) is an all-Ukrainian public organization, created by citizens with the purpose to fulfil tasks and objectives determined by Charter.

1.2 Legal Address of Ukrainian Grain Association:

Ukrainian Grain Association, 4 floor, # 13, Predslavynska Str., Kyiv, 03680, Ukraine.

1.3 Ukrainian Grain Association activity is performed in respect with equality, self-regulation, legality and voluntary principles.

1.4 Activity of UGA is guided by the Constitution, Ukrainian current legislation and Association Charter.

1.5. Activity of the Association is performed on the territory of Ukraine and abroad.

1.6 UGA shall acquire the right of a legal entity as of the date of state registration. UGA shall have an independent balance sheet, bank accounts, its own seal bearing the name of the Association, appropriate stamps and letterheads, approved by the Council of Representatives and registered in order established by current legislation

1.7 UGA may enter into agreements, acquire property and non-property rights, perform obligations, and act as claimant and defendant before the Court of Law, Arbitration and Mediation Court with regard to the goal and tasks stated in Charter.
1.8. Members of UGA shall not be liable for their obligations to UGA. Ukrainian Grain Association shall not be liable for obligations of its members to other legal persons.

1.9.UGA shall bear the responsibility for obligations to its property limits. UGA shall not bear responsibility for commitments of the state as well as the state shall not bear responsibility for commitments of the Association.


2.1 Main objective of Ukrainian Grain Association is to defend interests of its members, contributing to formation and development of the national grain market in Ukraine; creation of necessary organizational, economic, legal and social conditions promoting interaction of the Association members.

2.2 Main tasks of UGA are as follows:

a) to provide project definition of statutory and legal normative acts regulating functioning of grain market;

b) to provide an independent expertise of statutory and legal normative acts, and their drafts contributing to better functioning of grain market;
c) to protect and to represent the general interests and joint point of view of UGA members to the legislative and executive bodies, in relations with the state bodies and public organizations;
d) to assist to collect, process and disseminate information promoting development of the inmost and the world grain market;
e) to assist on issues of scientific research organization on economic, legislative, technological and other problems of grain market development;
f) realization of projects encouraging the process of formation and development of the grain market of UGA;

2.3 Main lines of UGA activity:

collects and disseminates information and promulgates the ideas and goals of UGA;
establishes mass media, realizes publication activity;
supports direct international contacts, relations, concludes agreements and takes part in activity that are not contradict to international commitment of Ukraine;
conducts seminars, conferences and so on;
provides economic and commercial activity through the system of self-supporting enterprise and organizations formation, founds enterprises;
issues news-letters, bulletins and other publications (using computer net) necessary for statutory tasks realization;
concludes agreements necessary for statutory tasks realization with different organizations.


3.1 Members of UGA can be citizens of Ukraine, foreign citizens, stateless persons and working groups of the enterprises, institutions and organizations willing to join UGA, recognize Charter and concluded contract with the Association.

3.2 Members of the Association are entitled:

a) to elect and to be elected to the authorities of UGA, to receive full information on activity of the authorities, to participate in the work of a standing committee, commissions and other bodies of UGA;
b) to take part in voting on issues discussed in the meetings;
c) for UGA support and promoting to protect the rights and interests against illegal actions of the state and other bodies and organizations directed to the activity of UGA;
d) to use services, presented by UGA in the first instance and on preferential terms;
e) to take part in the projects, provided by UGA;
f) to appeal in established manner against the exclusion from UGA members or suspension of a membership power;
g) to participate in a discussion on any subject concerning UGA activity;
h) to delegate the authority to other members of UGA during the meetings.

3.3 Members of the Association are obliged:

a) to adhere to Charter of UGA, other provisions regulating inmost activity of UGA, to perform decisions of UGA meetings, UGA elective bodies of management and control, take part in the projects carried out according to decisions made by the authorities of UGA;
b) to perform decisions assigned in the inmost documentation, not to allow actions that are harmful to the interests of UGA;
c) to submit reference and information data that is not considered a commercial secret to the General Board of Directors;
d) to pay the admission and membership fees on time.

3.4 Admission and exclusion of the new members of UGA is decided on submitting a written application of the member or on a decision of the working group of a collective member pursuant to a decision made by the Council of Representatives of UGA. The applicants are entitled to appeal against the decision by way of collecting signatures of at least 20 per cent of UGA members supporting admission of a new member in a case of the Council of Representatives rejection for the application.

3.5 Any member of UGA is entitled to withdraw from the membership of the Association in a two months period after the written notice to be sent to the Council of Representatives of UGA. All the commitments of UGA member remain in force up to the end of a fiscal year.

3.6 Issues on exclusion from UGA membership can be submitted to the Council of Representatives consideration in the following cases:

a) violation of current legislation and Charter of UGA;
b) in failure to pay in time, rejection to pay the fees or other sums that should be paid in keeping with the decision of UGA meeting;
c) if actions of the member contradicts goal and lines of UGA activity.

3.7 Issue on exclusion from membership is decided by UGA Council of Representatives. Decision on exclusion from membership of UGA can be appealed and rejected by UGA meeting.

3.8 In a special case of violation causing the exclusion from membership of UGA General Board of Directors is obliged to give a notice in writing to UGA member on cessation of his membership in UGA before making a correspondent decision by the Council of Representatives. The enterprise stops using the rights and privileges of UGA member starting from the date the notice is sent. All the obligations of UGA member remain in force up to the end of a fiscal year.

3.9 The advance payment is not reimbursed on termination of membership.

3.10 Every member of the Association has a one-vote right that can be used during the voting procedure at the meeting of UGA members.


4.1 Local centers are the base of the Ukrainian Grain Association.
Local centers are created according to the territory principle, on-the-job, training or live-in principle if three persons available.

Local centers are guided in their activity by this charter and their regulations, adopted by their supreme governing board and approved by the Council of Representatives. To acquire the right of a legal entity the local centers have to be registered in established by the law order.


5.1 Supreme management body of UGA is a meeting of UGA called by the Council of Representatives if necessary but not less than once in two years or if requested by at least 20 per cent of UGA members.

5.1.1 Members of UGA should be informed on convocation and agenda of the General Assembly of UGA in a month advance.

5.1.2 The meeting of UGA is responsible for:

a) ratification of the Association Charter, making changes and amendments to it;
b) election of the Council of Representatives of UGA for a two-year period;
c) election of the Auditing Committee of UGA for a two-year period;
d) election and confirmation of the Chief of the Council of Representatives- the President of UGA for a two years period;
e) determination of the main lines of UGA activity;
f) realization of the property right for real estate and funds;
g) financial and other reports approval of the Council of Representatives;
h) election and withdrawal of the members of Auditing Committee;
i) approve the decision of the Auditing Committee;
g) making decisions on cessation of activity.

5.1.3 Decision on creation, reorganization and liquidation of UGA, ratifying the Charter, making amendments and changes are accepted by the majority — two thirds of the delegates who are present at the meeting of the Association. A new meeting shall be called in a month period if there is a lack of a quorum at the meeting (2/3 of the delegates should be present at the meeting) and the decision is made by a majority vote.

5.1.4 The meeting is authorized to make a decision in a case that one-half of the delegates take part in the meeting (proportional representation is determined by the Council of Representatives of the Association). The decision is accepted by a simple majority of the delegates.

5.2 The Council of Representatives:

a) is a supreme body of UGA for a period between convocations of UGA meetings;
b) nominates for a post of the General Director of UGA who works on agreed terms for reward;
c) develops and approves the organizational structure of executive body of the Association, its budget and source of financing;
d) accepts new members and suspends membership in UGA;
e) decides on opening and suspending the activity of local representatives of the Council, ratifies their charters (regulations);
f) prepares report on activity, financial position and other reports of the Council of Representatives for the meeting;
g) creates and organizes the work of the committee and working groups of the Association if necessary;
h)decides different issues of the Association activity not related to the meeting competence;

5.3 Chief of the Council of Representatives is the President of UGA.

5.3.1 The Chief of the Council of Representatives - the President can be elected from the members of the Council of Representatives. The President of UGA:

• provides performance of the meeting and the Council of Representatives decisions;
• furnishes subject of the UGA Charter in the UGA practical activity;
• represents the UGA interests to the government bodies and public organizations;
• identifies the degree of responsibility of the UGA authorities, distributes obligations among them;
• convokes, arranges and directs the activity of the Council of Representatives and takes charge of the meetings;
• gives candidacies for the Council of Representatives to be elected by the meeting of UGA.

5.4 General Board of Directors is a constantly-operating executive body accountable to the Council of Representatives. The General Director is designated by the Council of Representatives. The General Director:

• to employ and to dismiss the staff members of the General Directorship;
• to realize the governing functions for UGA tasks accomplishments;
• to perform the decisions of the Council of Representatives and the President of UGA;
• to bare the responsibilities for financial activity, efficient use of material and financial resources;
• to organize and to exercise control over the enterprises and organizations created by UGA;
• to be in charge of the monetary funds in respect with the budget approved by the General Board of Directors of UGA;
• on the instructions of the President of UGA to represent the interests of UGA to the Government bodies and public organizations;
• to sign the official documentation;

• decides other issues of the current activity.

5.4.1 General Board of Directors:

a) identifies every-day tasks, makes prompt decisions on current issues;
b) opens the accounts in the banks, organizes accounting, realizes current plans and programs of the Association;
c) makes annual balance sheet and represents yearly report on financial and economic activity of UGA;
d) decides on different issues not related to the competence of the meeting of UGA or the Council of Representatives.

5.4.2 Auditing committee is elected by the Association meeting for a two-year period in order to provide control on financial and economic activity of UGA that includes:

a) audit of the Association activity at least once a year;
b) control over the decisions of the management body of UGA;
c) revision of the annual report of the General Board of Directors and making conclusion
on it that is approved by the UGA meeting or by the Council of Representatives (in a period between the meetings);
d) members of the Council of Representatives and members of the General Board of
Directors can not be the members of Auditing committee;
e) members of the General Board Directors are obliged to submit all the documents or any explanations to the members of Auditing committee as requested.


6.1 UGA can own buildings, erections, stock equipment, inventory and other property that guarantees the activity provided by Charter in accordance with the order established by current legislation.

6.2 Sources of financing of UGA:

a) admission, membership and target fees;
b) other earnings from economic and other commercial activity of the self-supporting institutions, organizations, enterprises created by UGA;
c) voluntary contribution of the enterprises, institutions, organizations and private persons;
d) revenues from different arrangements stipulated by this Charter.

6.3 Funds of UGA are exclusively spent for realization of Charter goals and lines of activity.

6.4 Members of UGA are entitled to create special funds for realization of any special-purpose projects of the Association.

6.5 UGA and institutions, organizations, enterprises created by UGA are engaged in accounting and statistics in order established by current legislation. Fiscal year is determined from January 1 till December 31 inclusive. UGA is liable for record-keeping and filing the documents (administrative, financial and economic and others).

6.6. The Council of Representatives identifies the costs to be spent for meetings, conferences, staff expenditures, target projects, publication and information activity as well as the expenses related to the international cooperation.


7.1 Reorganization of UGA (consolidation, joining, distribution, segregation, reorganization) occurs in respect to a decision of the meeting or extraordinary meeting stipulated by the decision voted by two thirds of the UGA members present at the Meeting otherwise pursuant to a decision of the Court of Law and Arbitration Court in cases furnished by current legislation. An extraordinary meeting is held in a month period and a decision is taken by a majority of votes in the special case that two-thirds of the members are absent.

7.2. Property and funds of UGA, including the UGA liquidation, can not be redistributed among its members and are used for Charter and charity tasks performance; and in cases legally provided to be filed in the state Record Office according to the State court decision.

7.3. In case of the Association liquidation the Body, that made a decision on this liquidation, designates the liquidation committee. This committee prepares the corresponding documentation for approval.
